Publisher Terms & Conditions
Wellput, Inc. ("Wellput," "We," "Us," "Our") is an email newsletter advertising service provider that makes buying and selling email newsletter sponsorships simpler. Our aim is to help you, the Publisher, supplement your advertising revenue, while providing our advertiser partners with the means to effectively reach their target audience.
The relationship between Wellput and you, the Publisher, is governed by the Standard Terms and Conditions for Internet Advertising for Media Buys of One Year or less (https://www.iab.com/wp-content/uploads/2015/06/IAB_4As-tsandcs-FINAL.pdf) (the "IAB Terms") as well as the Special Terms and Conditions below. In the event of any conflict between any provision in these Terms & Conditions and the IAB Terms, the provision in these Terms & Conditions will prevail. The IAB Terms will be construed in accordance with the laws of the State of Washington without reference to its choice of law provisions and solely in courts located in King County, Washington. Wellput may revise these Terms & Conditions at any time, in its discretion, by posting the revised version to our Site. Any such revision is effective upon posting, and your continued participation in the Wellput platform after a revision is posted constitutes your acceptance of the then-current Terms & Conditions.
SPECIAL TERMS AND CONDITIONS
Creatives: Wellput will provide creative templates. Imagery and other creative elements may be utilized based on availability.
Creative Integrity and Modifications: Publishers are strictly prohibited from altering, editing, modifying, or adapting any part of the creative assets (the "Creative") provided by Wellput without prior written approval. This includes, but is not limited to, changing or substituting text, replacing or omitting images, removing branding or visual elements, and isolating specific parts of the Creative (e.g., placing an advertiser logo alone within a newsletter or linking only the logo). Any "Custom Creative" derived from Wellput-provided materials must be expressly reviewed and approved by Wellput in writing before use. Wellput reserves the right to withhold payment for any clicks generated from modified or unapproved Creative.
Clicks: Wellput to provide unique click tracking.
Payment: Payment is based on the unique, valid clicks tracked and validated by Wellput.
Invalid Traffic: "Invalid Traffic" means any clicks or other activity that Wellput determines, in its reasonable discretion, not to be genuine human engagement by bona fide recipients of the Publisher's newsletter. Invalid Traffic includes, without limitation: (a) clicks generated by bots, scripts, crawlers, or other automated or non-human means; (b) clicks originating from data centers, proxies, VPNs, anonymizers, or emulators; (c) incentivized, purchased, paid-to-click, or otherwise artificially stimulated activity; (d) traffic acquired through or driven by paid media, arbitrage, co-registration, or any source other than the Publisher's genuine newsletter audience engaging with the placement within the newsletter; (e) duplicate, repeated, or fraudulent clicks; (f) traffic materially inconsistent with the Publisher's represented audience, including as to geography, device, or engagement pattern; and (g) any activity generated in violation of these Terms or applicable law.
Determination and Withholding: Wellput may evaluate traffic for validity at any time, including before, during, and after a campaign has been approved, has run to completion, or has accrued earnings. Wellput reserves the right to withhold, reduce, offset, reverse, or decline payment for any clicks or earnings attributable to Invalid Traffic, including amounts previously displayed as accrued. Wellput's determination of what constitutes Invalid Traffic is final. Wellput is under no obligation to disclose, and may decline to disclose, the methods, data, signals, or thresholds it uses to detect or determine Invalid Traffic.
Provisional Earnings: Any earnings, clicks, or performance figures shown in the publisher dashboard are estimated and provisional, are subject to validation and adjustment by Wellput, and do not constitute a guarantee of payment or a final determination of amounts payable. Wellput's approval of a campaign, or the fact that a campaign was permitted to run to completion, does not waive Wellput's right to review traffic validity or to withhold payment for Invalid Traffic.
Traffic Quality: The Publisher represents and warrants that all traffic generated in connection with placements will consist of genuine engagement by actual recipients of the Publisher's newsletter, and will not be generated, procured, or supplemented by bots, incentivized or purchased clicks, paid-media traffic directed to placement or tracking links, or any other Invalid Traffic. Upon Wellput's request, the Publisher will promptly provide information regarding its subscriber acquisition, traffic sources, and engagement analytics; failure to cooperate is itself grounds for withholding payment.
Suspension and Forfeiture: Wellput may suspend, deactivate, or terminate a Publisher's account at any time, including where Wellput identifies Invalid Traffic. Earnings attributable to Invalid Traffic are forfeited and non-payable, and Wellput may offset such amounts against any other amounts otherwise payable to the Publisher.
Conditions: Campaigns, CPC pricing, and creatives are subject to change. Please check the publisher dashboard for up to date information before including an ad placement in your newsletter.
Payment terms are 60 days from the end of the month in which the placement(s) ran. Wellput reserves the right to withhold payment until Publisher has accrued a minimum of $100 in earnings.
Changes and Updates to These Terms & Conditions
We may revise these Terms & Conditions at any time and in our sole discretion. Revisions are effective upon posting the updated version to our Site, and the "Updated" date at the top of this page reflects the date of the most recent version. We may, but are not obligated to, provide additional notice of significant changes. It is your responsibility to review these Terms & Conditions periodically, and your continued participation in the Wellput platform following any revision constitutes your acceptance of the revised Terms & Conditions.
